These Terms of Service ("Terms") govern your access to and use of the Vino platform, including vino-smart.com and my.vino-smart.com (collectively, the "Service"), operated by VeeCard Ltd. ("Vino", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

3. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service for any fraudulent, abusive, or illegal activity.
  • Attempt to gain unauthorized access to any part of the Service or its systems.
  • Interfere with or disrupt the Service or servers connected to it.
  • Upload content that is defamatory, obscene, infringing, or otherwise objectionable.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell or redistribute the Service without our prior written consent.

4. Your Content

You retain ownership of all content you upload to the Service (menu items, images, descriptions, branding, etc.). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely for the purpose of operating and providing the Service.

You are solely responsible for your content and represent that you have all necessary rights to upload and display it.

5. Subscription and Payments

Certain features of the Service require a paid subscription. Subscription fees, billing cycles, and plan details are described on our pricing page and at the time of purchase.

  • Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise stated.
  • You authorize us (or our payment processor) to charge the payment method on file for all applicable fees.
  • Subscriptions renew automatically unless you cancel before the next billing cycle.

6. Free Trial

We offer a 14-day free trial with limited features. We reserve the right to modify, limit, or discontinue the free trial at any time without notice.

7. Intellectual Property

The Service, including its design, code, features, branding, and documentation, is owned by VeeCard Ltd. and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

8. Availability and Modifications

We strive to keep the Service available at all times but do not guarantee uninterrupted access. We may modify, update, or discontinue features of the Service at any time. We will make reasonable efforts to notify you of material changes.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEECARD LTD. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless VeeCard Ltd. and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will continue to apply.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VeeCard Ltd. is incorporated, without regard to its conflict of law provisions.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
